1. Acceptance of Terms By accessing or using The Tax Toolbox ("Service"), accessible from thetaxtoolbox.net and app.thetaxtoolbox.net, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

2. Description of Service The Tax Toolbox is an AI-powered research assistant designed for tax professionals. It provides search capabilities, document summarization, and drafting assistance using artificial intelligence.

3. NO PROFESSIONAL ADVICE (Crucial Disclaimer) You acknowledge and agree that:

  • The Service is an informational tool only. It does not constitute legal, tax, or accounting advice.

  • Verification Required: Artificial Intelligence can make errors ("hallucinations"). You are solely responsible for verifying the accuracy, completeness, and applicability of any output generated by the Service against official government sources (e.g., IRS Code, State Statutes).

  • No Professional Relationship: Use of the Service does not create a CPA-client, attorney-client, or fiduciary relationship between you and The Tax Toolbox.

  • Professional Judgment: You agree to use your own professional judgment before relying on any information provided by the Service for client deliverables or filings.

4. User Accounts & Security

  • You are responsible for safeguarding the password that you use to access the Service.

  • You agree not to disclose your password to any third party.

  • You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

5. Subscriptions & Payments

  • Billing: The Service is billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis (e.g., monthly) via our payment processor, Lemon Squeezy.

  • Cancellation: You may cancel your Subscription at any time. Your access will continue until the end of your current billing period.

  • Refunds: Refunds are handled at the sole discretion of The Tax Toolbox and in accordance with Lemon Squeezy's policies.

6. User-Uploaded Content

  • You retain ownership of any documents (PDFs, text) you upload to the Service.

  • You represent and warrant that you have the necessary rights and consents (including client consent where applicable) to upload such data.

  • Confidentiality: We do not claim ownership of your data. However, you acknowledge that uploading highly sensitive Personal Identifiable Information (PII) is done at your own risk.

7. Intellectual Property The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of The Tax Toolbox.

8. Limitation of Liability To the maximum extent permitted by applicable law, in no event shall The Tax Toolbox, its affiliates, agents, directors, or employees be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the Service. In no event shall our liability exceed the amount paid by you, if any, for accessing the Service during the twelve (12) months preceding the claim.

9. "AS IS" and "AS AVAILABLE" Disclaimer The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Tax Toolbox expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the results of using the Service will be accurate, reliable, or error-free.

10. Governing Law These Terms shall be governed and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law provisions.
